Terms of Service

These Terms govern your use of CVSmith.app, including the website, dashboard, and related features.

These Terms of Service ("Terms") govern your access to and use of CVSmith.app (the "Service"), including our website, dashboard, and related features.

Operator: The Service is operated by Mikhail Drozd (sole proprietor) ("Operator", "we", "us", "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CVSmith provides tools designed to help users analyze and improve resumes/CVs and related job application materials. The Service may include features such as resume analysis, job description matching, ATS-style checks, suggestions, and content generation (collectively, "Outputs").

Informational use only. Outputs are provided for informational purposes. We do not guarantee interviews, offers, employment outcomes, or accuracy in all cases. You are responsible for reviewing and validating Outputs before using them.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service.

3. Accounts

Some features require an account.

You agree to provide accurate information and keep it up to date.

You are responsible for safeguarding your credentials and for all activity under your account.

4. Plans, Purchases, and Billing

4.1 Purchase types

The Service may offer:

  • Subscriptions (e.g., monthly/annual), which renew automatically unless canceled;
  • Time-limited access purchases, including a one-time purchase that grants access for three (3) months;
  • Credits / tokens / packs, which can be redeemed for specific actions (e.g., generations, analyses), as described at the time of purchase.

We may add, remove, or modify plans and features over time.

4.2 Payment processing (Stripe)

Payments are processed by Stripe and/or its affiliates ("Payment Processor"). By making a purchase, you authorize us and the Payment Processor to charge your payment method for the amount shown at checkout, including applicable taxes.

4.3 Subscriptions: auto-renewal and cancellation

Subscriptions auto-renew at the end of each billing period unless you cancel before renewal. You can cancel through your account settings or by contacting support. After cancellation, your subscription remains active until the end of the then-current billing period unless otherwise stated at checkout.

4.4 Time-limited access (3 months)

If you purchase time-limited access (including the 3-month access), your access begins upon successful payment and continues for the stated period. Unless explicitly stated otherwise at checkout, time-limited access does not auto-renew.

4.5 Credits / tokens / packs

If we offer credits/tokens:

  • Their scope (what they can be used for), any limitations, and any expiration terms (if applicable) will be disclosed at the time of purchase.
  • Credits are generally non-transferable.
  • Unless required by law or stated otherwise at checkout, credits are non-refundable.

4.6 Failed payments, chargebacks, and fraud

If a payment fails or is reversed (including chargebacks), we may suspend or limit access to paid features. We may take reasonable steps to investigate and prevent fraudulent activity.

4.7 Price changes

We may change pricing and plan features. For subscription price changes, we will provide notice where required by applicable law. Your continued use after changes take effect constitutes acceptance of the updated pricing.

5. Refunds

Refunds (if any) are governed by our Refund Policy available at: /legal/refund-policy. If there is a conflict between these Terms and the Refund Policy, the Refund Policy controls with respect to refunds.

6. Acceptable Use

You agree not to:

  • use the Service for unlawful, fraudulent, or deceptive purposes;
  • upload malware or attempt to disrupt, overload, or interfere with the Service;
  • attempt to gain unauthorized access to accounts, systems, or data;
  • scrape, crawl, or harvest the Service in a way that harms performance, bypasses limits, or violates restrictions;
  • reverse engineer or attempt to extract source code except where prohibited by law;
  • infringe the intellectual property, privacy, or other rights of others;
  • submit content you do not have the right to use, process, or share.

We may suspend or terminate access if we reasonably believe you violate these Terms or pose a security or abuse risk.

7. User Content (Resumes, Job Descriptions, Files)

7.1 Ownership

You retain ownership of content you upload or submit, such as resumes/CVs, job descriptions, and related files or text ("User Content").

7.2 License to operate the Service

You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, and process your User Content only to provide, maintain, secure, and improve the Service, including generating Outputs, preventing abuse, and complying with legal obligations.

7.3 Deletion

The Service provides tools to delete certain User Content and files. Deleted data may persist for a limited time in backups and logs for security and reliability before being overwritten. More details are described in our Privacy Policy: /legal/privacy-policy.

7.4 Sensitive information

Do not upload highly sensitive information unless necessary (e.g., passwords, full payment card numbers, government ID numbers). If you choose to include sensitive information in a resume, you do so at your own risk.

8. AI and Third-Party Processing

To provide analysis and generation features, the Service may process User Content and inputs using third-party service providers, including providers of machine-learning/AI capabilities, hosting, and related infrastructure. These providers process data on our behalf for the purpose of delivering the Service.

You must not use the Service to upload or process content you are not authorized to share or that violates applicable law or third-party rights.

9. Intellectual Property

9.1 Our IP

The Service (including software, UI, design, logos, and non-user content) is owned by the Operator and/or licensors and is protected by intellectual property laws.

9.2 License to you

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use or internal business use, subject to these Terms.

9.3 Restrictions

You may not copy, modify, distribute, sell, lease, or sublicense any part of the Service without our prior written permission.

10. Third-Party Services and Links

The Service may integrate with or link to third-party services (e.g., payment processing, hosting, analytics). Your use of third-party services may be subject to their terms and policies. We are not responsible for third-party services beyond what is required by law.

11. Termination

11.1 By you

You may stop using the Service at any time.

You may request account deletion as provided in the Service.

11.2 By us

We may suspend or terminate your access if:

  • you violate these Terms;
  • we must do so to comply with law;
  • you pose a security risk or abuse the Service; or
  • we discontinue the Service.

11.3 Effect of termination

Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including Sections 7–15.

12. Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR OUTPUTS.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID ANY AMOUNTS), TO THE EXTENT PERMITTED BY LAW.

Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless the Operator from and against claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms or applicable law.

15. Governing Law and Venue

These Terms are governed by the laws of Spain, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be brought in the competent courts located in Madrid, Spain, unless mandatory consumer protection law provides otherwise.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and update the "Effective Date." By continuing to use the Service after changes become effective, you agree to the updated Terms.
